headliner - re-glue ro replace

I made a visit to my boat this weekend and got a good look at the headliner - its really falling down...its been on its way for a while - but is reaching a point where something must be done. I pulled a small peice back and saw that the foam backing is all dried up...and i'm thinking that i will need to pull it all off (will not be hard at all) and then re-glue it or replace it. The vinyl itslef is in good shape - but the foam backing is shot. To re glue, i'm guessing i'd have to pull it off, scrub off all of the old loose foam backing, then clean the overhead surface and reglue it with ????. The foam will be gone and i'm wondering if that makes much differewnce in insualtion and sound deadening...of course, if it must be replaced, ...well - not sure where to buy the stuff. Any recommendations?
